Is the registered agent consent form required to be filed with the Rhode Island Secretary of State?

What is the difference between the entity-filed change form and the agent-filed change form in Rhode Island?

Rhode Island does not publish a separate universal agent-filed change-of-agent form that lets one registered agent update its own name across multiple represented entities. The entity ordinarily files the agent-change document itself by using Form 640 Statement of Change of Agent, Form 641 Statement of Change of Registered Agent, Form 642 Statement of Change of Agent, or Form 643 Statement of Change of Registered Agent.

Rhode Island does publish office-only forms. Form 640A Statement of Change of Registered Office may be signed by the registered agent or a corporate officer, while Form 642A Statement of Change of Office and Form 643A Statement of Change of Registered Office are signed by the entity side.

Is there a fee to form a nonprofit corporation in Rhode Island?

Yes. The filing fee for Form 200 Articles of Incorporation is $35.

What forms are used to register an out-of-state LLC in Rhode Island?

An out-of-state LLC registers with Form 450 Application for Registration. The filing fee is $150, and the form requires the name and Rhode Island street address of the resident agent/office.

The same filing asks whether the foreign company is organized in its home jurisdiction as a low-profit limited liability company. The application also requires a certificate of good standing or letter of status dated within 60 days of filing.

What forms are used to form or register a partnership in Rhode Island?

A domestic limited partnership is formed with Form 300 Certificate of Limited Partnership, and a domestic limited liability limited partnership is formed with Form 300A Certificate of Limited Liability Limited Partnership.
